Terms of Service

These Terms of Service (the “Terms”) are an agreement between HudsonWorks, Inc. (“HudsonWorks”, “we”) and the entity or individual that creates an account (“Customer”, “you”). By signing up for or using the Service, you agree to be bound by these Terms.
1. The Service
HudsonWorks provides a multi-tenant software-as-a-service platform for trade service businesses. The platform includes customer management, project management, task tracking, time tracking, proposals, contracts, invoicing, vendor management, calendar synchronization, search, a customer portal, and mobile applications for iOS and Android.
The Service is offered to businesses operating in the Solar, HVAC, Plumbing, and Roofing trades, with additional verticals available via add-on packs. The Service is not intended for personal or consumer use.
2. Accounts and access
You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity on your workspace.
The workspace owner controls who is invited to the workspace and what role each member has. Invited members must be employees, contractors, or agents of the workspace and at least 16 years old.
You may sign in with email and password, with Sign in with Apple, or with Sign in with Google. The mobile app does not create new workspace members through social sign-in - the workspace owner must invite you first.
3. Subscription and billing
- Plans: Standard ($800/month) and Premium ($1,600/month) at the rates published on hudsonworks.com/pricing. Billing is arranged directly with HudsonWorks.
- Billing period: monthly, in advance. We do not pro-rate cancellations.
- Taxes: fees are exclusive of taxes; you are responsible for taxes assessed on your purchase.
- Past-due: we may suspend the Service if your account is more than 30 days past-due. After 90 days past-due, we may delete the workspace.
- Cancellation: you may cancel at any time; cancellation takes effect at the end of the current billing period.
- Pilot period: we offer a 30-day refundable pilot. To exercise the pilot refund, email hello@hudsonworks.com within 30 days of first payment.
4. Your data, our role
Records you create inside HudsonWorks (Customer Data) belong to your workspace. We act as a data processor; you are the controller of Customer Data, including data about your own customers.
You represent that you have a lawful basis to collect and store the personal information of your customers in HudsonWorks, and that you have honored any applicable disclosures, consents, or data-subject rights.
You grant HudsonWorks a worldwide, non-exclusive, royalty-free licence to host, process, copy, transmit, display, and modify Customer Data solely for the purpose of providing and operating the Service for you.
5. Account deletion and data export
Individual members may delete their own account directly inside the mobile app under More → Delete account. Deletion removes the member's personal information (name, email, username, password hash, sessions, push tokens, preferences). Records owned by the workspace are not deleted. See the Privacy Policy for details.
Workspace owners cannot self-delete the workspace from the mobile app. To delete the entire workspace and all Customer Data, the owner must email support@hudsonworks.com from the owner's registered address.
You may request a machine-readable export of your Customer Data at any time during the subscription. On termination, a 30-day grace period is provided to download an export before data is deleted.
6. Acceptable use
- No use of the Service that violates applicable law (including consumer-protection, anti-spam, or labor laws).
- No spam, phishing, harassment, or impersonation through the Service.
- No reverse-engineering or attempting to bypass tenant isolation, rate limits, or security controls.
- No use of HudsonWorks to operate a competitive multi-tenant SaaS in the same trade verticals.
- No automated scraping that materially affects service availability.
- No upload of malware, unlawful, infringing, or sexually explicit content.
We may suspend or terminate access for material breach. For serious abuses (illegal content, security threats) we may act immediately and without prior notice.
7. Third-party integrations
The Service supports per-tenant integrations including DocuSign (for contract signing), Google Calendar (for one-way push), Algolia (for tenant-scoped search), and Apple/Google identity providers (for sign-in). Each integration is governed by the third party's own terms. You authorize HudsonWorks to act on your behalf with these third parties to the extent necessary to provide the Service.
8. Confidentiality
Each party will use reasonable measures to protect the other party's confidential information and will not disclose it except as required to perform under these Terms or as required by law.
9. Warranty disclaimer
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND HUDSONWORKS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUDSONWORKS'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
11. Indemnification
You will defend, indemnify, and hold HudsonWorks harmless from any third-party claim arising out of (a) your use of the Service in violation of these Terms, (b) Customer Data, including any claim that Customer Data infringes a third party's rights, or (c) your violation of applicable law.
12. Term, termination, and survival
These Terms apply for as long as you use the Service. Either party may terminate for material breach not cured within 30 days of written notice. Sections that by their nature should survive termination (including 4, 5, 8, 9, 10, 11, and 14) will survive.
13. Modifications to the Service
We may update the Service and these Terms from time to time. Material changes to these Terms will be communicated to workspace owners by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to arbitration.
Arbitration and class waiver: any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The parties waive any right to a jury trial and any right to participate in a class action. Either party may bring an individual action in small-claims court for disputes within its jurisdiction.
15. Miscellaneous
- Entire agreement: these Terms, together with the Privacy Policy, are the entire agreement between the parties.
- Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
- Severability: if any provision is unenforceable, the rest remain in effect.
- No waiver: failure to enforce a provision is not a waiver of that provision.
- Force majeure: neither party is liable for delays caused by events outside its reasonable control.
